1. Sponsor. The sponsor of the Pre-registration Leaderboard (the “Promotion”) is Freedom45 Games, LLC (collectively with its affiliates and parent entities, the “Sponsor”) located at 1309 Coffeen Avenue, Suite 1200, Sheridan, WY 82801, with notice to [email protected].

2. Agreement. The Promotion is subject to these official rules (“Official Rules”), and by entering, Eligible Persons, as defined below, agree to be bound by them and the decisions of Sponsor, which are final and binding on all matters relating to the Promotion.

3. ARBITRATION NOTICE: THESE TERMS AND CONDITIONS CONTAIN AN ARBITRATION CLAUSE FOR USERS IN THE UNITED STATES, WHICH IS CONTAINED BELOW IN THE SECTION TITLED "DISPUTE RESOLUTION". EXCEPT AS OTHERWISE DESCRIBED HEREIN, IF YOU ARE LOCATED IN THE UNITED STATES, YOU AGREE THAT DISPUTES BETWEEN YOU AND THE SPONSOR WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION OR OTHER REPRESENTATIVE PROCEEDING.

4. Promotion Eligibility. The Promotion is only open to legal residents of the fifty (50) United States or the District of Columbia who are at least 18 years of age or older, (19 years of age or older for residents of AL and NE) as of the time of entry (each, an “Eligible Person”). Employees (and their immediate families (parent, child, spouse, or sibling, and their respective spouses, regardless of where they reside) and those living in their same households, whether or not related) of Sponsor, Released Parties (defined below), agents, or any other business involved with the administration of this Promotion are not eligible to enter or win.

5. Entry Period. The Promotion will begin on December 9, 2025 and end December 26, 2025 ("Promotion Period"). Participants must complete qualifying activities during the Promotion Period to be eligible to receive any prize. Sponsor's computer will determine the timing of all qualifying activities, and Sponsor's determination of timing shall be final.

6. How to Enter: Create an account and pre-register for the upcoming game launch (the “Pre-Registration”), which is accessible at www.TrumpBillionairesClub.com and contains additional information regarding the Pre-Registration. Eligible Persons who complete the pre-registration process during the Promotion Period are “Participants.” To participate in the Promotion, Participants may complete the following activities to earn points toward the leaderboard ranking:

• (1) create an account and pre-register for 20 points,

• (2) deposit a minimum of 1 $TRUMP token for 200 points, and

• (3) refer other Eligible Persons to complete the pre-registration process.

Each Participant that completes the pre-registration process will receive a unique referral link that can be used for such referrals. When a referee completes the pre-registration process and deposits 1 $TRUMP token using the unique referral link associated with a particular Participant (the original Participant), the original Participant is credited with 100 points. For each subsequent referral made by the original referee who completes the pre-registration process and deposits 1 $TRUMP token (second-level referrals), the original Participant receives 50 points.

Participants are solely responsible for determining how and with whom they share their unique referral link and seek referrals. Participants may refer as many Eligible Persons as they want. Final ranking on the leaderboard will determine prize eligibility based on the prize tiers described in Sections 7 and 11. Participants may be eligible for prizes that include $TRUMP tokens, mystery boxes, and NFT statues as set out in more detail below. Sponsor will determine, in its sole discretion, whether any activity meets the eligibility criteria to participate in the Promotion or to earn points toward leaderboard ranking. Sponsor reserves the right to reject any activity for any reason. Sponsor's decisions regarding eligibility and all other aspects of the Promotion are final and binding.

7. Prizes.
On or before January 2, 2026, following the 17 day Promotion Period and an audit period of up to 7 days, Sponsor will conduct a final audit of all eligible participants and determine final leaderboard rankings based on total points earned. Prizes will be awarded to participants according to their final leaderboard ranking and the tier structure outlined in these rules. The total prize pool is comprised of $TRUMP tokens with an approximate retail value of $1,000,000 USD, additional mystery boxes, and NFT statues to be distributed according to the prize breakdown table.

• (a) $TRUMP Token Prizes

  Participants can receive $TRUMP tokens based on their final leaderboard ranking. The amount of $TRUMP token prizes will vary based on the tier achieved by a particular participant. For each tier, there will be a specific amount of $TRUMP token prizes as set forth in the chart below. The below chart sets forth the different prize tiers, the leaderboard rank ranges required for each tier, and the approximate number of $TRUMP tokens to be awarded for each tier.

• (b) Mystery Box Prizes.

  Eligible participants can receive mystery boxes containing in-game currencies based on their final leaderboard ranking. As described above, a participant’s leaderboard ranking is determined by the points that they earn in the promotion. Most mystery boxes contain gold bars, but mystery boxes may include other in-game currencies exchangeable for in-game building materials including hard hats, nudges, and shields. There are three rarity levels for mystery boxes: Rare ($35 value), Epic ($100 value), and Legendary ($150 value). The type of mystery box received will vary based on the tier achieved by a particular Participant as set forth in the prize breakdown chart in Section 11. The total approximate retail value of all mystery box prizes is $356,550.

  
  

• (c) NFT Statue Rewards.

  Eligible Participants can receive exclusive NFT statues based on their final leaderboard ranking. These statues are placeable in-game, provide only cosmetic benefits, and are exclusive to this pre-registration promotion. The rarity of NFT statues received will vary based on the tier achieved by a particular Participant, ranging from Common to Unique rarity levels as set forth in the prize breakdown chart. The total approximate retail value of all NFT statue prizes is $1,215,750 as set out in the Prize Breakdown below.

8. Additional Prize Terms.
The total approximate retail value of all prizes associated with the Promotion (“Prizes”) is $ 2,577,300.* Prizes are non-transferable and no substitution will be made except as provided herein at Sponsor's sole discretion. Sponsor has the right to substitute Prizes with others of comparable or greater value. Prizes awarded are subject to Sponsor's terms and conditions (available at www.TrumpBillionairesClub.com/Rules), and may be subject to third-party terms and conditions.

*$TRUMP valuations listed herein are approximate and based on the market price of $TRUMP as of the date these Official Rules were first published. Actual value of Prize will be determined by market price of $TRUMP on the date and time the Prize is transferred to awarded Participant. Conversions of $TRUMP to US Dollars or any other digital asset are treated as “sales,” and all such transactions may be charged a spread, processing, and/or fee by the platform or service used for such transactions. In addition, digital asset transactions may involve transaction fees imposed by the relevant blockchain network, commonly referred to as gas fees, which may vary in amount depending on the blockchain network and the level of activity on the network at the time of the transaction. Awarded Participants are solely responsible for any/all applicable transaction fees, gas fees, and federal, state and local taxes and any other expenses related to the acceptance and use of a prize not specified herein. You assume all risks associated with using blockchain-based cryptographic assets including, but not limited to, the risk of hardware, software and Internet connections, the risk of malicious software introduction, and the risk that third parties may obtain unauthorized access to information stored within your wallet. Cryptographic assets, cryptocurrencies, digital assets, and blockchain technology are relatively new and the regulatory landscape is unsettled, as more fully explained and agreed above. New regulations could negatively impact such technologies and the value of $TRUMP tokens and other digital assets. You understand and accept all risk in that regard, as more fully explained and agreed above. Without limiting the foregoing, you assume all responsibility for any adverse effects of disruptions or other issues impacting the Solana blockchain. We do not guarantee the functionality, reliability, transferability, or future availability of $TRUMP tokens in the event of disruptions, regulatory changes, or other unforeseen circumstances.

9. Validation of Potential Winners: The Sponsor or its agent may contact each potential winner using the contact information provided upon entry. After completing the pre-registration and within one week of contact by Sponsor or its agent, the potential winner must complete a KYC (Know Your Customer) A potential winner may become an actual prize winner only after verification of eligibility by Sponsor except where prohibited. Subject to Sponsor's discretion, if a potential winner cannot be contacted, is ineligible as determined by Sponsor, fails to comply with these Official Rules, fails to respond to the notification within the required time period, fails to provide the requested information, fails to comply with the Sponsor’s instructions, or if the notification is returned as undeliverable, the potential winner forfeits the applicable Prize.

Sponsor is not responsible for any change of email address or other contact information of potential winner. The Released Parties (defined below) are not responsible for and shall not be liable for late, lost, damaged, intercepted, misdirected, or unsuccessful efforts to notify the potential winners. In the event that a potential winner forfeits the prize about which he or she was notified, the Sponsor may award the prize to an alternate potential winner. Each such alternate potential winner, if any, will be treated as a potential winner for purposes of notification and verification as set forth above.

10. Prize Conditions. Sponsor is not responsible for lost or stolen Prizes. Winners are responsible for any costs and expenses not listed herein. Prizes may be reported as income to a winner and all federal, state, and local taxes, fees and surcharges and taxes (whether foreign or domestic, and including income, sales, and import taxes) on Prizes are the sole responsibility of the Prize winners. Please consult a tax professional to discuss your particular situation. Winners may be required to complete tax forms or other documents requested within the time period stipulated by Sponsor. Sponsor reserves the right to amend or cancel the Promotion for any reason, including if the fairness of the Promotion is compromised. Proof of identity, age and/or legal residence may be required to claim a Prize. Failure to comply with any of the requirements set forth in these Promotion Rules may result in disqualification or forfeiture of a Prize.

11. Publicity Release. Except where prohibited by law, participation in the Promotion constitutes each winner’s consent to Sponsor’s use of winner’s name, likeness, photograph, voice, opinions, and/or hometown and state for promotional purposes in any media without further payment or consideration.

12. General Rules. By participating in this Promotion, Entrants agree to be bound by these Promotion Rules. The Sponsor reserves the right at its sole discretion to disqualify any Entrant that it suspects tampers or attempts to tamper with the entry process or the operation of the Promotion or any website, including without limitation, any website owned and operated by the Company; violates these Promotion Rules; violates Sponsor’s terms and conditions (available at www.TrumpBillionairesClub.com/Terms); or acts in a disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; or fails to provide complete and accurate information required for payment of incentives and/or tax reporting purposes. The Sponsor also has the right, in its sole discretion, to maintain the integrity of the Promotion, and to void entries associated with the use of bots, macros, scripts, or other technical means for entering, or that otherwise impact the integrity of the Promotion. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and/or civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person and Entrant to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Promotion Rules will not constitute a waiver of that provision. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion if it is not capable of running as planned, including, but not limited to, infection by computer virus, tampering, unauthorized intervention, fraud, technical failures or any other problems beyond the control of Sponsor, and, at its option, award the prize from among all eligible entries received prior to cancellation.

13. Representation and Warranties and Conduct. BY ENTERING AND PARTICIPATING IN THE PROMOTION, YOU REPRESENT AND WARRANT THAT: (I) ALL INFORMATION PROVIDED BY YOU IN CONNECTION WITH THE PROMOTION IS TRUE, ACCURATE, AND COMPLETE; (II) YOU HAVE FULL AUTHORITY TO GRANT THE RIGHTS SET FORTH IN THESE OFFICIAL RULES; AND (III) YOU AGREE TO COMPLY WITH ALL FEDERAL, STATE, AND LOCAL LAWS AND REGULATIONS.

14. Warranty Disclaimer. EACH PRIZE IS PROVIDED (OR WILL BE AWARDED) "AS IS" AND WITHOUT WARRANTY OF ANY KIND, AND THE COMPANY, ITS EMPLOYEES, OFFICERS, DIRECTORS, SHAREHOLDERS, AGENTS, AFFILIATES AND REPRESENTATIVES OF SPONSOR AND OTHER PARTICIPATING PARTNERS SUCH AS OPEN LOOT, INCLUDING THEIR AFFILIATED COMPANIES, PARENTS, SUBSIDIARIES AND ADVERTISING AND PROMOTION AGENCIES (TOGETHER, THE "RELEASED PARTIES") HEREBY DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT), CONCERNING ANY PRIZE FURNISHED OR MADE AVAILABLE IN CONNECTION WITH THE PROMOTION.

15. General Release. YOU HEREBY HOLD THE RELEASED PARTIES HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM THE PROMOTION, PARTICIPATION IN ANY PROMOTION RELATED ACTIVITY, OR RESULTING DIRECTLY OR INDIRECTLY FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH THE PROMOTION, INCLUDING WITHOUT LIMITATION PERSONAL INJURY, DEATH AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION AND/OR INVASION OF PRIVACY AND THE COLLECTION, USE AND/OR SHARING BY SPONSOR AND THE RELEASED PARTIES OF PERSONALLY IDENTIFIABLE INFORMATION OF ENTRANTS, OR FOR ANY PRINTING, PRODUCTION, TYPOGRAPHICAL OR HUMAN ERROR.

THE RELEASED PARTIES ASSUME NO RESPONSIBILITY FOR ANY ERROR, OMISSION, INTERRUPTION, DELETION, DEFECT, OR DELAY IN OPERATION OR TRANSMISSION OR ALTERATION OF ENTRIES. THE RELEASED PARTIES ARE NOT RESPONSIBLE FOR ANY PROBLEMS WITH OR TECHNICAL MALFUNCTION OF ANY TELEPHONE NETWORK OR LINES, COMPUTER ONLINE SYSTEMS, BLOCKCHAIN SYSTEMS, SERVERS OR PROVIDERS, COMPUTER EQUIPMENT, SOFTWARE, FAILURE OF ANY ENTRY TO BE RECEIVED ON ACCOUNT OF TECHNICAL PROBLEMS OR TRAFFIC CONGESTION ON THE INTERNET OR AT ANY WEBSITE, HUMAN ERRORS OF ANY KIND, OR ANY COMBINATION THEREOF, INCLUDING ANY INJURY OR DAMAGE TO ENTRANTS' OR ANY OTHER PERSONS’ COMPUTERS, WIRELESS DEVICES OR OTHER EQUIPMENT RELATED TO OR RESULTING FROM PARTICIPATION, UPLOADING OR DOWNLOADING OF ANY MATERIALS RELATED TO THE PROMOTION, OR IF FOR ANY REASON THE PROMOTION IS NOT CAPABLE OF BEING CONDUCTED AS PLANNED, INCLUDING BUT NOT LIMITED TO INFECTION BY COMPUTER VIRUSES, BUGS, TAMPERING, UNAUTHORIZED INTERVENTION, FRAUD, TECHNICAL FAILURES OR OTHER CAUSES BEYOND THE CONTROL OF THE RELEASED PARTIES.

16. Limitation of Liability. IN NO EVENT WILL THE RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, INCLUDING WITHOUT LIMITATION, ATTORNEYS FEES, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING OUT OF OR RELATED TO THE PROMOTION OR PROMOTION RELATED ACTIVITIES.

17. Dispute Resolution. PLEASE READ THIS “MANDATORY ARBITRATION” SECTION CAREFULLY. IT LIMITS YOUR RIGHTS IN THE EVENT OF A DISPUTE BETWEEN YOU AND THE SPONSOR AND THE MANNER IN WHICH YOU CAN SEEK RELIEF.

You and the Sponsor agree that any and all past, present and future disputes, claims or causes of action arising out of or relating to your participation in the Promotion, these Terms and Conditions or any other disputes between you and the Sponsor (including, without limitation, disputes regarding the effectiveness, scope, validity or enforceability of these Terms and Conditions and agreement to arbitrate) (the “Disputes”), shall be determined by arbitration unless: (1) your jurisdiction of residence does not allow this arbitration agreement; (2) your Dispute is subject to an exception to this agreement to arbitrate as described herein; (3) you or the Sponsor have claims that qualify for small claims court, in which case such claim or request for relief may proceed in small claims court in the state of Delaware; or (4) you or the Sponsor seek equitable relief in court for infringement or other misuse of intellectual property rights.

18. Class Action Waiver. YOU AND THE SPONSOR AGREE, TO THE FULLEST EXTENT ALLOWED BY LAW, THAT DISPUTES WILL NOT UNDER ANY CIRCUMSTANCES BE PURSUED IN CLASS PROCEEDINGS. ANY ARBITRATION PURSUANT TO THIS PROVISION WILL NOT PROCEED AS A CLASS, GROUP OR REPRESENTATIVE ACTION. YOU AGREE TO SPECIFICALLY WAIVE YOUR RIGHT TO BRING OR TO PARTICIPATE IN CLASS PROCEEDINGS AGAINST US EITHER IN ARBITRATION OR IN A COURT PROCEEDING.

20. No Affiliation with Third Parties. This Promotion is sponsored and administered exclusively by Sponsor and is in no way sponsored, endorsed, administered by or associated with any other third parties. Open Loot (openloot.com) is the official partner of the Sponsor that processes the Promotion and other related activities.
